Terms of Service
Please read these Terms of Service carefully before using the Amilogix website or engaging our services. These terms constitute a legally binding agreement between you and Amilogix, Inc. By using our website or services, you confirm that you are at least 18 years old and have the legal authority to enter into this agreement.
1. Acceptance of Terms
By accessing or using the Amilogix website (amilogix.com) or any of our services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this site. These terms apply to all visitors, users, and others who access or use our services.
2. Description of Services
Amilogix provides software development, design, cloud infrastructure, AI/ML, cybersecurity, and related digital services to businesses and individuals. The specific scope, deliverables, timelines, and pricing for any engagement are defined in a separate Statement of Work (SOW) or Service Agreement signed by both parties. These Terms of Service govern your general use of our website and form the baseline for all client relationships.
3. Client Responsibilities
As a client or user of our services, you agree to: provide accurate and complete information when requested; cooperate with our team in a timely manner to enable delivery of services; ensure you have the necessary rights and permissions for any materials, content, or data you provide to us; comply with all applicable laws in connection with your use of our services; and not use our services for any unlawful, harmful, or fraudulent purpose.
4. Intellectual Property
Upon full payment of all fees, Amilogix assigns to the client all intellectual property rights in the custom deliverables created specifically for that client under a signed SOW. Amilogix retains ownership of: (a) all pre-existing intellectual property, tools, frameworks, and methodologies used in delivering services; (b) general knowledge, skills, and experience gained during the engagement; and (c) any open-source components, which remain subject to their respective licences. Amilogix reserves the right to reference the client relationship and general project outcomes in its portfolio and marketing materials unless otherwise agreed in writing.
5. Confidentiality
Both parties agree to keep confidential any non-public information disclosed during the engagement that is designated as confidential or that reasonably should be understood to be confidential. This obligation does not apply to information that: is or becomes publicly available through no breach of this agreement; was already known to the receiving party; is independently developed without use of confidential information; or is required to be disclosed by law. Confidentiality obligations survive termination of the engagement for a period of three (3) years.
6. Payment Terms
Payment terms are specified in the applicable SOW or invoice. Unless otherwise agreed: a 30% deposit is required before work commences; remaining payments are due at milestones defined in the SOW; invoices are payable within 14 days of issue; late payments accrue interest at 1.5% per month; and Amilogix reserves the right to suspend services for overdue accounts. All fees are exclusive of applicable taxes, which are the client's responsibility.
7. Warranties & Disclaimers
Amilogix warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. THE WEBSITE AND ANY INFORMATION PROVIDED THEREON ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, AMILOGIX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AMILOGIX, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OUR SERVICES. IN ANY CASE, AMILOGIX'S AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO AMILOGIX IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
9. Termination
Either party may terminate an engagement by providing 30 days written notice. Amilogix may terminate immediately if the client breaches these terms, fails to pay, or engages in conduct that is harmful or unlawful. Upon termination, the client shall pay for all work completed up to the termination date. Amilogix will deliver all completed work product upon receipt of final payment. Sections relating to intellectual property, confidentiality, payment, and limitation of liability survive termination.
10. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any dispute arising from these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in San Francisco, California, under the rules of the American Arbitration Association. Notwithstanding the foregoing, either party may seek injunctive relief in a court of competent jurisdiction.
11. Changes to Terms
We reserve the right to modify these Terms of Service at any time. We will provide notice of significant changes by updating the effective date at the top of this page and, where appropriate, notifying you by email. Your continued use of our website or services after changes are posted constitutes your acceptance of the revised terms. We encourage you to review these terms periodically.
